1. AGREEMENT TO TERMS

By accessing or using the website microscopebro.com (the "Site") or placing an order with MicroscopeBro LLC ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Site or place an order. These Terms apply to all visitors, customers, and others who access or use the Site.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. PRODUCTS AND PRICING

All products are subject to availability. We reserve the right to discontinue any product at any time without notice.

Prices are listed in US dollars and are subject to change without notice. We make reasonable efforts to display accurate pricing, but in the event of a pricing error, we reserve the right to cancel any order placed at the incorrect price and issue a full refund. Payment of a displayed price does not constitute acceptance of an order until we confirm it.

Product images on the Site are representative of the work. Due to variations in monitor calibration, screen settings, and print production, the final product may vary slightly in color from what is displayed on your screen. These variations do not constitute a defect.

3. ORDER ACCEPTANCE AND RIGHT TO REFUSE

Placing an order does not guarantee fulfillment. We reserve the right, at our sole discretion, to refuse or cancel any order for any reason, including but not limited to suspected fraud, unauthorized or illegal activity, pricing errors, product availability issues, or any other reason we deem appropriate. If we cancel an order after payment has been collected, we will issue a full refund. We will not be liable for any loss, inconvenience, or damages arising from the cancellation of an order under this provision.

We reserve the right to limit quantities purchased per customer or per order.

4. PRINT-ON-DEMAND FULFILLMENT

All physical print orders are produced on demand through a third-party fulfillment partner. Production begins promptly after an order is placed. Because each item is made to order, orders generally cannot be modified or cancelled once submitted.

Shipping timeframes are estimates only and are not guaranteed. We are not liable for delays caused by our fulfillment partner, shipping carriers, customs, or circumstances outside our control.

We disclaim liability for errors, delays, or failures attributable to our third-party fulfillment or shipping partners. To the extent we are able to assist in resolving fulfillment errors, we will do so at our sole discretion and without obligation.

5. RETURNS, REFUNDS, AND DAMAGED ITEMS

All sales are final. Because our physical prints are produced on demand specifically for each order, we do not accept returns or exchanges.

We will consider refund or replacement requests only in cases where an item arrives damaged, defective, or materially different from what was ordered. To be eligible for consideration, you must:

  • Contact us at alex@microscopebro.com within 14 days of the delivery date as recorded by the shipping carrier

  • Provide clear photographic evidence of the damage or defect, including photos of the item and its packaging

Requests submitted after the 14-day window, or without required photo documentation, will not be eligible for refund or replacement. Whether to issue a refund or replacement is at our sole discretion. We are not obligated to provide any remedy for minor cosmetic variations, color differences attributable to screen calibration, or damage caused after delivery.

Digital download sales are final and non-refundable under all circumstances.

6. DIGITAL DOWNLOADS AND LICENSE

Upon purchase and payment confirmation, you are granted a limited, non-exclusive, non-transferable, revocable license to download and use the digital file for personal, non-commercial purposes only.

You may not:

  • Resell, redistribute, sublicense, or transfer the file to any third party

  • Use the file for commercial purposes, including but not limited to advertising, merchandise, print-for-sale, or promotional materials

  • Modify, alter, or create derivative works from the file for any commercial purpose

  • Claim authorship or ownership of the original image

All rights not expressly granted are reserved by MicroscopeBro LLC. Any use beyond the scope of this license without prior written authorization constitutes infringement and may be subject to legal action.

We do not guarantee continuous or uninterrupted access to digital downloads after purchase. It is your responsibility to save your downloaded files promptly. We are not obligated to provide re-downloads indefinitely.

7. INTELLECTUAL PROPERTY

All content on this Site, including but not limited to microscopy images, photographs, artwork, digital files, graphics, logos, brand names, product names, text, and the overall appearance and design of the Site, is the exclusive property of MicroscopeBro LLC or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

No content from this Site may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or used in any way without our express prior written permission. Unauthorized use of our content may give rise to a claim for damages and may constitute a criminal offense.

The purchase of a physical print or digital download does not transfer any intellectual property rights to you. All copyright and ownership of the underlying image remain with MicroscopeBro LLC.

8. DISCLAIMER OF WARRANTIES

The Site and all products and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

We make no representations or warranties regarding the accuracy, completeness, or reliability of any content on the Site.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, MicroscopeBro LLC, its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, your purchase of any product, or these Terms, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to a purchase shall not exceed the amount you paid for the specific order giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

10. DISPUTE RESOLUTION AND ARBITRATION

Please read this section carefully. It affects your legal rights.

Informal Resolution. Before initiating any formal dispute, you agree to contact us at alex@microscopebro.com and attempt to resolve the matter informally. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.

Binding Arbitration. If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or purchase of any product shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Monterey County, California, or by telephone or videoconference at our election. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

No Class Actions. You agree that any dispute will be resolved on an individual basis only. You waive the right to participate in any class action lawsuit, class-wide arbitration, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.

Small Claims Exception. Notwithstanding the above, either party may bring an individual claim in small claims court if the claim qualifies and remains on an individual basis.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to alex@microscopebro.comwithin 30 days of first agreeing to these Terms. If you opt out, disputes shall be governed by the terms of Section 11 below.

11. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. For any dispute not subject to arbitration under Section 10, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Monterey County, California, and waive any objection to the exercise of jurisdiction over you by such courts.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MicroscopeBro LLC and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, your violation of any rights of a third party, or your use of any product purchased through the Site in a manner not authorized by these Terms.

13. THIRD-PARTY LINKS AND SERVICES

The Site may contain links to third-party websites or reference third-party services. These links are provided for convenience only. We have no control over the content, policies, or practices of third-party sites and accept no responsibility for them. Accessing third-party sites is at your own risk.

14. SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

15. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MicroscopeBro LLC with respect to the Site and your purchases, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
